Armony Terms of Use

Welcome to Armony! These Terms of Use ("Terms") govern your access to and use of Armony's services, including our website, applications, AI chat features, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Use of Services

  • Eligibility: You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you have the legal capacity to enter into these Terms.
  • Account Registration: To access our Services, you need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Acceptable Use: You agree to use our Services in accordance with all applicable laws and these Terms. You may not:
    • Use our Services for any illegal or unauthorized purpose.
    • Interfere with or disrupt our Services or servers.
    • Upload or transmit any malicious code, viruses, or harmful content.
    • Violate the rights of others, including intellectual property rights.
    • Attempt to circumvent any usage limitations or AI model restrictions.
    • Use automated means to access or use our Services without our express permission.

2. Content and Intellectual Property

  • Your Content: You retain ownership of any content you upload to our Services ("User Content"). By uploading User Content, you grant Armony a non-exclusive, worldwide, royalty-free license to use, store, display, and process your User Content solely for the purpose of providing and improving our Services.
  • AI-Generated Content: Content generated by our AI models ("AI Content") is provided for your personal or business use subject to these Terms. While you may use AI Content in your work or projects, Armony does not guarantee that AI Content is accurate, complete, or suitable for any particular purpose.
  • Ownership of Services: The Services, including all software, designs, text, graphics, logos, and other content (excluding User Content), are owned by Armony or its licensors and are protected by intellectual property laws.
  • Feedback: If you provide suggestions or feedback about our Services, you grant Armony a non-exclusive, perpetual, irrevocable, transferable, sublicensable license to use such feedback without compensation or attribution.

3. AI Features and Limitations

  • AI Models: Armony provides access to various AI models with different capabilities. Access to certain models may be limited based on your subscription tier.
  • Usage Limitations: We may impose reasonable usage limitations on our Services, including limits on the number of API calls, spaces, or the size of content that can be processed.
  • No Professional Advice: Our AI models provide information for general purposes only. AI Content should not be considered professional, legal, medical, or expert advice. Consult qualified professionals for advice in specialized fields.
  • Content Monitoring: While we strive to prevent the generation of harmful, illegal, or inappropriate content, AI systems are not perfect. You agree not to use our Services to deliberately generate such content, and we reserve the right to monitor and filter content to enforce these Terms.

4. Subscription and Payment

  • Free and Paid Plans: Armony offers both free and paid subscription plans with different features and limitations.
  • Billing: For paid subscriptions, you agree to pay all fees associated with your selected plan. Fees are billed in advance and are non-refundable except as expressly provided in these Terms or as required by law.
  • Subscription Changes: You may upgrade, downgrade, or cancel your subscription at any time. Changes to your subscription will take effect as described in our billing interface.
  • Price Changes: We may change our prices from time to time. If we change prices for your subscription, we will notify you before the change takes effect.

5. Termination

  • By You: You may terminate your account at any time by following the instructions on our website.
  • By Us: We may suspend or terminate your access to our Services if you violate these Terms, if we reasonably believe that you are using our Services in a way that creates legal liability or operational burden, or for any other reason in our sole discretion.
  • Effect of Termination: Upon termination, your right to access and use our Services will cease immediately. Certain provisions of these Terms will survive termination.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. ARMONY SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARMONY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. ARMONY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ARMONY FOR THE SERVICES IN THE PAST 12 MONTHS.

8. Indemnification

You agree to indemnify and hold harmless Armony and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or relating to your use of our Services, your User Content, or your violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the jurisdiction in which Armony is established, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be finally settled by arbitration in accordance with the rules of the arbitration authority in that jurisdiction.

10. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through our Services. Your continued use of our Services after the changes take effect constitutes your acceptance of the updated Terms.
